Terms of Use
These terms describe the use of the Orbitform Studio website and the principles that apply when considering studio services. A signed project agreement takes precedence for the services it covers.
About these terms
This website is presented for Orbitform Studio, a fictional international product design and custom business software studio. These terms are intended to describe a complete, readable set of website-use and engagement principles. Any real engagement must be documented in a written agreement signed by the relevant parties.
Website use
You may browse and use this website for lawful informational purposes. You agree not to interfere with its operation, attempt unauthorised access, introduce malicious code, or use the site in a way that violates applicable law or another person’s rights. We may change, suspend, or remove website content as needed.
Website copy is general information about the studio’s approach, not a promise that a particular service, result, schedule, or capability will be available for every project.
Project scope and engagement
Before work starts, the parties should agree in writing on the scope, deliverables, responsibilities, assumptions, fees, schedule, review points, and any dependencies. A proposal or statement of work becomes binding only when accepted in the manner stated in that document. Changes to agreed scope, including additional work or changed requirements, may require an updated estimate or written change approval.
Clients are responsible for providing timely information, access, decisions, and feedback reasonably needed for the work. Dates may need to change when dependencies, approvals, or client-supplied materials are delayed.
Fees and payment
Project fees, invoicing milestones, taxes, expenses, and payment deadlines are set out in the relevant written agreement. Unless that agreement states otherwise, invoices are payable by the due date shown on the invoice. Work may be paused after notice if an undisputed invoice remains overdue. No payment is collected through this website.
Intellectual property
Ownership and usage rights for project deliverables are determined by the signed project agreement. Unless it says otherwise, pre-existing methods, tools, reusable know-how, and materials remain with their original owner. Third-party software, fonts, libraries, or content remain subject to their respective licences. Each party is responsible for securing rights to materials it supplies.
Nothing on this website grants permission to reproduce studio content, imagery, or identity except as allowed by law or with prior written permission.
Confidentiality and data
Any confidentiality obligations, handling of client data, security controls, hosting arrangements, and privacy roles for a project should be agreed in writing before sensitive information is shared or processed. The Privacy Policy describes website inquiry handling.
Warranties and dependencies
Unless a signed agreement explicitly provides otherwise, information on this site and any preliminary discussion are provided without a guarantee of a particular business outcome. Software and product outcomes depend on factors including client decisions, third-party services, data quality, adoption, and operating conditions. Any delivery acceptance, warranty, maintenance, or support terms are defined in the applicable project agreement.
Limitation of liability
To the extent permitted by applicable law, neither party is liable to the other for indirect or consequential losses that were not reasonably foreseeable when an agreement was made. Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, wilful misconduct, or mandatory consumer rights. Any project-specific allocation or cap of liability must be set out in the signed project agreement.
Third-party services and links
This website may rely on third-party hosting, form delivery, or linked services. Those services are governed by their own terms and privacy practices. We are not responsible for third-party sites or systems we do not control.
Governing law
These website terms are intended to be governed by the laws of Spain, without prejudice to mandatory consumer protections or other rules that cannot be excluded by law. Courts with jurisdiction in Spain will hear disputes to the extent permitted by applicable law. A signed client agreement may set out a different governing-law or dispute-resolution provision for that engagement.
Changes to these terms
We may revise these terms when the site or applicable requirements change. The effective date above indicates when this version was prepared. Continued use of the site after a revision means only that you have seen the updated website terms; project services remain governed by their signed agreement.
